These Terms and Conditions ("Terms") govern your use of the mobile applications developed by SgtWarfare LLC ("Company," "we," "us," or "our"): Franco Food, Franco Drive, and Franco Business, including any additional services such as taxi and ride-hailing services (collectively, the "Franco App"). By downloading, installing, accessing, or using any Franco App service, you agree to be bound by these Terms. If you do not agree, you must not use the services.

1. Eligibility

You must be at least eighteen (18) years old to use any Franco App service.

By creating an account, you represent and warrant that all information provided is true, accurate, current, and complete.

We reserve the right to refuse service, suspend, or terminate accounts if eligibility requirements are not met.

2. Accounts and Registration

An account is required to access core features of the Franco App.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

You may not share, rent, sell, or transfer your account to any third party.

3. Services Overview

3.1 Franco Food (Customers)

Franco Food enables users to order food, groceries, clothing, tools, and other products from local and international vendors.

Payments may be made using cash, card, or other supported payment methods.

Orders may be canceled subject to vendor policies and app rules.

3.2 Franco Drive (Drivers)

Franco Drive allows independent drivers to accept delivery, ride, or service requests and earn income.

Drivers are independent contractors and not employees, partners, agents, or representatives of SgtWarfare LLC.

Drivers are solely responsible for complying with traffic laws, licensing requirements, insurance obligations, and local regulations.

Account sharing, renting, selling, or fraudulent activity is strictly prohibited.

3.3 Franco Business (Vendors)

Franco Business enables businesses to sell products and services through the Franco App ecosystem.

Businesses are responsible for maintaining accurate catalogs, menus, pricing, availability, and operating hours.

Businesses must fulfill orders honestly, accurately, and within reasonable timeframes.

3.4 Taxi and Ride-Hailing Services

Franco App may offer taxi and ride-hailing services ("Taxi Service") through the Franco Drive platform.

Drivers providing Taxi Services are independent contractors and not employees of SgtWarfare LLC.

SgtWarfare LLC does not own, operate, or control vehicles used for Taxi Services and is not responsible for driver or passenger conduct, safety, negligence, or misconduct.

Taxi fares may vary based on distance, duration, demand, location, zone, and other operational factors. Any fare estimates displayed in the app are not guaranteed and may change.

Users must behave lawfully and respectfully during trips. Misconduct may result in immediate suspension or termination of the account.

4. User Obligations

All users agree to:

• Use the Franco App lawfully and respectfully

• Provide accurate, current, and complete information

• Avoid misuse, manipulation, fraud, or abuse of the platform

• Comply with all applicable local, national, and international laws

5. Payments and Fees

Customers agree to pay all applicable prices, fares, delivery fees, service fees, taxes, and charges associated with orders or rides.

Drivers will receive payment for completed deliveries or rides, minus applicable service or platform fees.

Businesses agree to pay commissions or service fees as outlined in their respective agreements.

Payment disputes must be reported within seven (7) days of the transaction.

5.1 Remitly Payments

Payments processed via Remitly are available only for Franco Drive drivers and Franco Business vendors and are intended for users located outside the United States, including but not limited to Guyana, Trinidad and Tobago, and Dominica.

All Remitly transactions are subject to Remitly’s own terms, conditions, processing times, fees, currency exchange rates, and verification requirements.

SgtWarfare LLC is not responsible for delays, errors, reversals, exchange rate differences, or fees imposed by Remitly or intermediary financial institutions.

By selecting Remitly as a payment method, users expressly acknowledge and accept these conditions.

6. Cancellations and Refunds

Customers may cancel orders before preparation begins, subject to vendor policies.

Refunds are issued only in cases of confirmed order errors, unavailable items, or non-delivery as determined by our support team.

Drivers are not guaranteed compensation for trips canceled before pickup.

6.1 Passenger Cancellations – Franco Drive

Passengers may cancel ride or delivery requests; however, cancellation fees may apply.

Cancellation fees vary by zone, distance, time, demand, and local market conditions.

SgtWarfare LLC reserves the sole and absolute discretion to determine whether drivers receive partial, full, or no compensation for passenger cancellations.

No compensation is guaranteed for canceled rides or deliveries.

Repeated or abusive cancellations may result in fees, restrictions, or account suspension.

7. Prohibited Conduct

Users must not:

• Use the app for illegal, harmful, or fraudulent purposes

• Harass, abuse, threaten, or harm others

• Attempt to hack, disrupt, reverse-engineer, or manipulate the app

• Provide false, misleading, or deceptive information

8. Intellectual Property

All trademarks, content, software, designs, and intellectual property within the Franco App are owned by SgtWarfare LLC.

Users are granted a limited, non-exclusive, non-transferable, revocable license to use the app solely for its intended purpose.

Unauthorized reproduction, distribution, or modification is strictly prohibited.

9. Limitation of Liability

SgtWarfare LLC is not responsible for order errors, delivery delays, service interruptions, or business operations.

Drivers are independent contractors; SgtWarfare LLC is not liable for their actions, negligence, or misconduct.

We are not responsible for losses caused by inaccurate user information, including incorrect delivery or pickup details.

To the maximum extent permitted by law, SgtWarfare LLC shall not be liable for indirect, incidental, consequential, or punitive damages.

9.1 Pricing Variations and Cancellations

All prices, fares, fees, and cancellation charges may vary by geographic zone, time, demand, and operational conditions.

SgtWarfare LLC reserves the right to modify pricing, fees, and compensation structures at any time, to the extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless SgtWarfare LLC and its affiliates from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Franco App or violation of these Terms.

11. Termination

We may suspend or terminate your account immediately if you violate these Terms or engage in fraudulent, harmful, or unlawful activity.

Termination may result in loss of access to your account, earned income, or pending balances in cases of fraud or abuse.

12. App-Specific Rules

Franco Food

Users must provide accurate delivery details and treat drivers and businesses respectfully.

Franco Drive

Drivers must maintain valid licenses, insurance, and vehicle registration where required.

Drivers are responsible for all tax obligations arising from earnings.

Franco Business

Businesses must not sell illegal, counterfeit, or prohibited products.

Repeated order failures or cancellations may result in suspension.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to conflict of law principles.

14. Dispute Resolution

Disputes must first be submitted in writing to our support team.

If unresolved, disputes shall be resolved through binding arbitration in Louisville, Kentucky, USA.

Class actions and jury trials are waived to the fullest extent permitted by law.

15. Modifications

We reserve the right to modify these Terms at any time. Updates will be published within the app and on our website. Continued use constitutes acceptance of the updated Terms.
